Scope and delivery

These terms cover the website charlie-energy.com (and www.charlie-energy.com) and the services described on it, offered by Charlie Energy S.r.l., VAT 11888690960, REA MI-2629283. The brand on the website is Charlie AI Solution.

The services are: managed access to leading AI models; custom AI software; and European cloud, security, and compliance operations. A project starts when both sides confirm scope, timing, and price in writing. Pages on this website are information. They are not, by themselves, a binding offer.

Delivery is for customers operating in Europe, from our EU company. Deliverables, acceptance, and timelines are those written in the order.

Fees and payment

Model usage and professional services are billed at published public prices, unless an order states a different written price. Invoices are issued in US dollars. Payment terms are stated on the invoice or in the order. This website does not take card payments.

Responsibilities

We provide the services in the order with reasonable professional care. You provide accurate instructions, the access and materials the work needs, and a person who can decide. You are responsible for how you use model outputs, and for having the rights to data you ask us to process. Each party remains responsible for the legal duties the law places on that party.

Limitation of liability

To the extent Italian law allows, each party's total liability arising out of a service is limited to the fees paid for that service in the twelve months before the claim. We are not liable for lost profits or for indirect damages. Nothing in these terms limits liability for fraud, willful misconduct, or any liability that Italian law does not allow a contract to limit.

Suspension and termination

We may suspend a service if a payment is overdue, if the law requires it, or if continuing would create a serious security risk. Either party may end an order on the terms written in that order. Ending an order does not remove payment for work already done. We may update the public website at any time.

Law and courts

Italian law applies. The courts of Milan have jurisdiction. This does not limit a mandatory right a consumer has to bring a claim in the courts of their home country. These terms are written for business customers.
